The Wisconsin County Highway Superintendents And

 Foremen Association

 

·       DEFINITION OF WCHSFA

The Wisconsin County Highway Superintendents and Foremen Association (WCHSFA) is a Not for profit organization for the purpose of protecting and furthering the common interests of county governments and providing educational opportunities relative to the governmental function of constructing and maintaining highways.

 

·       AFFILIATION

The Wisconsin County Highway Superintendents and Foremen Association, herein referred to as the Association, may conduct Association matters with the WCHA, and may be considered an Association in cooperation with the WCHA.

              

·       MEMBERSHIP

Any county of the State of Wisconsin shall be considered a Member of the Association.

Individual membership in the Association shall be limited to those persons who are a County Highway Superintendent, Foremen, or equal position to include retired Superintendent and foremen also.

 

·       OFFICERS, ELECTIONS, DUTIES AND TERMS

Officers:  The officers of the Association shall consist of a Board of Directors President, Past President, Secretary-Treasurer, Vice President and At Large. The Board of Directors shall be 1 person from each of the 5 regions as set forth by the State of Wisconsin.

 

Elections: All Officers may be elected at the Association’s regular business meeting at the Annual conference. The term of the office for all new officers shall commence the day of the end of the Annual Meeting. Persons elected shall remain in office throughout their term and thereafter until their successors are elected. Each officer shall be a member of the association. If any office becomes vacant during said term the vacancies shall be filled from that region within thirty (30) days by appointment from the remaining officers, in the event an officer is gone and/or resigned, the conference Chair shall take the open position as an interim member.

               

President, Past President, Secretary-Treasurer, Vice- President and At Large:

These offices shall be progressive offices held by a Highway Superintendent or Foreman. These offices shall be elected every year at the Annual Business Meeting and have a term of 3 years. After serving one (1) year the President shall become Past President, the Secretary-Treasurer shall become the Vice- President, and the Vice-President shall become President, At Large shall become Secretary- Treasurer.

President: The President shall preside at all meetings of the Board of Directors. Sign any and all documents that may require a signature from the Board of Directors. The Past President shall aid the New President in all duties to ensure a uniform transition and promote consistency within the Association.

            Vice- President: The Vice-President may, as the President advises, conduct the  

            correspondence of the Association, and shall perform other duties the President

            has assigned.

 

 

           Secretary-Treasurer: The Secretary- Treasurer of the Association shall oversee all

           aspects of the Association, and shall work in cooperation with the WCHA

           Treasurer to oversee the Associations expenses and revenues. The Secretary-

           Treasurer shall give an annual report to the General Membership at the Annual

           Meeting. The Secretary-Treasurer shall report the financial status to the

           Associations Officers as they request.

 

           Vendors: There shall be two non-voting vendors to help in the continuance of the

           Annual Conference

 

·       CONFERENCE COORDNATING COMMITTEE

This standing committee of the Association shall consist of the following members. The Superintendent or Foreman from the host county shall be the committee chair person, the Superintendent or Foreman from the co- hosting county shall be the committee vice-chair, the previous Chair person, four (4) Vendors and a WCHSFA Board of Directors member, from the region in which it is held, as a Liaison. The Conference Chair shall be invited to the WCHSFA Board of Directors meetings. The Agenda for the Conference shall be approved by the WCHSFA Board of Directors.

 

·       ANNUAL CONFERENCE/ORGANIATIONAL MEETING

The conference shall be held once a year during the early fall season, over a period and time agreed upon by the Conference committee and the Board of Directors of the WCHSFA. At the Annual Business Meeting the By-Laws may be reviewed and change as necessary by the Board of Directors.

 

·       AMENDENTS

These By-Laws may be amended at the Annual Conference/organizational or Special Meeting of the Association upon a majority vote of the member counties present, or by 2/3 majority of officers present.

 

·       DISSOLUTION

The Association may be dissolved by a majority vote of the Member Counties present and Voting at the Annual Business Meeting. Upon dissolution of the Association, any excess funds shall be distributed to the Member Counties as determined by the Board of Directors.
